1. Acceptance of these terms
These Terms of Service govern your access to CHANIVO Studio (the “Studio”), a web-based video preparation and content management service operated by Lotus & Wattle in Australia. By accessing or using the Studio, you agree to these terms and our Privacy Policy. If you do not agree, do not use the Studio.
2. Eligibility and authorized access
You must be legally able to enter into these terms and satisfy the age requirements of every connected platform. You are responsible for maintaining the security of your Studio access and for all activity performed through your account. You may connect only TikTok or other social accounts that you own or are expressly authorized to manage.
3. The service
The Studio may help users organize and edit videos, generate transcripts and captions, prepare publishing content, schedule an internal dispatch time, and transfer selected content to authorized third-party accounts. For TikTok draft upload, the selected time controls when CHANIVO Studio sends the video to the user’s TikTok inbox. The user must then open TikTok, review the draft, and complete the post manually. An internal schedule is not a guarantee that TikTok will publish content automatically at that time.
4. Third-party platforms
TikTok and other connected services are independent third parties with their own terms, privacy policies, community guidelines, availability, and review requirements. Your use of those platforms remains subject to their rules. We do not control their processing times, moderation decisions, account restrictions, API availability, notifications, or final publishing outcome.
5. Your content
You retain ownership of content you submit. You grant CHANIVO Studio a limited, non-exclusive permission to host, process, modify, render, and transfer that content only as necessary to provide the features you request. This permission ends when the content is deleted, subject to reasonable backup, security, and legal retention periods.
You represent that you own or have all permissions required for the videos, audio, music, images, names, claims, personal information, and other material you upload or publish.
6. Acceptable use
You must not use the Studio to violate law or third-party rights; upload unlawful, deceptive, infringing, abusive, malicious, or privacy-invasive material; impersonate another person; access an account without authorization; bypass platform limits or safeguards; distribute malware; interfere with the service; or use automated activity in a manner prohibited by TikTok or another connected platform.
7. Account authorization
Connecting TikTok authorizes CHANIVO Studio to act only within the permissions you approve through TikTok OAuth. You may revoke authorization at any time through TikTok or by disconnecting the integration. Features that rely on that authorization may stop working when access is revoked, expires, or is restricted.
8. Availability and changes
The Studio is provided on an “as available” basis. We may maintain, change, suspend, or discontinue features, including when a third-party API changes. We do not guarantee uninterrupted access, successful transfer, notification delivery, approval, moderation, or publication of any content.
9. Intellectual property
Except for user content and third-party materials, the Studio, its interface, software, branding, and documentation are owned by or licensed to Lotus & Wattle. These terms do not transfer ownership of those materials to you.
10. Disclaimer and responsibility
To the extent permitted by law, the Studio is provided without warranties of merchantability, fitness for a particular purpose, or non-infringement. You remain responsible for reviewing content, captions, claims, privacy settings, permissions, scheduled times, and platform compliance before completing a post.
11. Limitation of liability
To the extent permitted by law, Lotus & Wattle will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from the Studio, third-party platform decisions, unavailable APIs, failed uploads, delayed notifications, or content posted by a user. Nothing in these terms excludes rights or remedies that cannot lawfully be excluded under Australian consumer law.
12. Suspension and termination
We may restrict or terminate access where reasonably necessary to protect the service, comply with law or platform requirements, investigate misuse, or address a breach of these terms. You may stop using the Studio and request account or data deletion at any time.
13. Governing law
These terms are governed by the laws of Victoria, Australia, without limiting any mandatory rights that apply in your place of residence.
14. Changes to these terms
We may update these terms when the Studio, platform integrations, or legal requirements change. The effective date at the top of this page identifies the latest version. Continued use after an update constitutes acceptance where permitted by law.
